MASTER TERMS & CONDITIONS

These Master Terms & Conditions ("Terms") govern access to and use of all products, services, platforms, websites, applications and digital or physical offerings provided by or on behalf of Mitterand Events & Management Consultancy W.L.L. ("Mitterand", "we", "us", "our") — collectively referred to as the "Mitterand Ecosystem". These Terms apply to: events, event management, event production, equipment rental, consultancy, digital marketing, business consulting, property-management consulting, Brain CRM, AI services, Mitterand Digital Academy, documentary/media production, marketplace services, subscriptions, purchases, enquiries, bookings, and authorised distribution activities. These Terms constitute the general terms governing access to and use of the Mitterand ecosystem. Service-specific terms, quotations, proposals, booking confirmations, subscription agreements, rental agreements, Scope of Work documents, orders or other written contractual documents may supplement these Terms for a particular transaction. Where a specific written agreement expressly conflicts with these Terms, the specific agreement controls only for that particular engagement to the extent expressly stated. By accessing or using any Mitterand service, platform or product, you confirm that you have read, understood and agreed to these Terms. If you do not agree, please do not use our services.

To access certain features of the Mitterand Ecosystem, you may be required to create an account. When creating an account, you agree to: - Provide accurate, current and complete information. - Maintain and promptly update your account information to keep it accurate. - Keep your login credentials secure and confidential. - Notify us immediately of any unauthorised use of your account. - Accept responsibility for all activities conducted under your account. Mitterand reserves the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are otherwise used improperly.

Certain features, subscriptions or services may require account activation, identity verification, or specific eligibility criteria. Activation steps will be communicated during onboarding. Mitterand reserves the right to require additional verification, documentation or approvals before activating accounts or granting access to specific services. Submission of an application or registration form does not guarantee account activation or service access.

You agree to use the Mitterand Ecosystem only for lawful purposes and in accordance with these Terms. You must not: - Violate any applicable laws, regulations or third-party rights. - Use the platform to transmit harmful, offensive, misleading or fraudulent content. - Attempt to gain unauthorised access to any systems, accounts or data. - Reproduce, distribute, modify or create derivative works of Mitterand content without permission. - Use automated tools, bots or scrapers without written authorisation. - Misrepresent your identity, affiliation or authority. You are responsible for your use of the Mitterand Ecosystem and for any content you submit.

Mitterand provides a range of services including but not limited to: event management and production, business and management consultancy, digital marketing, Brain CRM, AI-powered tools, the Mitterand Digital Academy, documentary and media services, marketplace facilitation, equipment rental, and authorised distribution of third-party services. Service availability, scope, pricing and terms vary by engagement. Specific services may be subject to additional service-specific terms, quotations, or proposals. Not all services are available in all locations or to all users. Mitterand reserves the right to modify, suspend or discontinue any service at any time with reasonable notice where possible. Services described on the Mitterand platform represent current or planned offerings. The status of each service — whether live, configured, authorised distribution, or roadmap — is noted where applicable.

The Mitterand Marketplace facilitates the purchase, access and distribution of products and services. Marketplace offerings may be: - Sold directly by Mitterand Events & Management Consultancy W.L.L. - Distributed by Mitterand as an authorised distributor of a third-party provider. - Facilitated by Mitterand as a commercial intermediary on behalf of a third-party supplier. - Provided by an identified third-party provider where clearly stated. Applicable seller, provider, fulfilment, pricing, cancellation and service terms will be identified where relevant for each listing. Mitterand does not guarantee the quality, fitness for purpose, delivery timeframes or outcomes of any third-party products or services. Users transacting with third-party providers do so subject to the applicable provider's terms.

The Mitterand Ecosystem may reference, integrate with, or facilitate access to third-party platforms, services, applications or providers. Mitterand is not responsible for the content, availability, accuracy, privacy practices or performance of third-party services. Links to third-party websites or services do not constitute an endorsement, partnership, sponsorship or affiliation unless expressly stated and verified. You access third-party services at your own risk and subject to their terms and conditions.

Mitterand acts as an authorised distribution agent for certain third-party providers, including Cyberdrone Dubai L.L.C. In its capacity as an authorised distribution agent, Mitterand promotes, markets, distributes and facilitates commercial enquiries on behalf of the relevant principal provider. Authorised distribution relationships do not transfer ownership, operation, regulatory responsibility or technical delivery obligations to Mitterand. The principal provider retains all responsibility for technical execution, regulatory compliance, fleet operation and final commercial terms, except where expressly agreed in writing. Submitting an enquiry through Mitterand in connection with an authorised distribution relationship does not constitute a confirmed booking, reservation or contractual commitment. Availability, pricing and terms must be confirmed with the relevant principal provider.

Mitterand Events & Management Consultancy W.L.L. acts as an authorised distribution agent for Cyberdrone Dubai L.L.C. in connection with the promotion, marketing, distribution and commercial facilitation of Cyberdrone drone light show solutions and related services. Mitterand is not Cyberdrone Dubai L.L.C. and does not own or operate any Cyberdrone equipment, drone fleet, or related technology. All technical execution, regulatory compliance, piloting and aviation permissions are the responsibility of Cyberdrone Dubai L.L.C. and applicable aviation authorities. Payments for Mitterand services, marketplace products, Academy courses and subscriptions are processed through available payment providers. Available payment methods are displayed at checkout according to transaction type, currency, location, eligibility and currently enabled payment providers. Payment obligations arise upon confirmed acceptance of a quotation, booking confirmation, subscription agreement or purchase order. All prices are exclusive of applicable taxes unless otherwise stated. Mitterand reserves the right to modify pricing at any time. Confirmed orders and bookings will be honoured at the agreed price stated in the relevant written confirmation. For large, bespoke or enterprise engagements, payment schedules, milestone payments, and instalment arrangements may be agreed in the relevant contract or Scope of Work.

Certain Mitterand services, including Brain CRM and Academy access, may be offered on a subscription basis. Subscription terms, including pricing, billing cycles, renewal conditions and cancellation rights, are set out in the applicable subscription agreement or displayed at the time of purchase. Subscriptions are subject to the Refund & Cancellation Policy available at /refunds. Mitterand reserves the right to modify subscription plans, features and pricing, with reasonable notice to existing subscribers.

Event bookings, service bookings and equipment rentals are subject to confirmation by Mitterand and, where applicable, by the relevant venue, supplier or authorised service provider. A booking enquiry or initial request does not constitute a confirmed booking. A booking is confirmed only when Mitterand has issued a written booking confirmation or signed contract. Specific booking terms, deposits, payment schedules and event-day conditions will be set out in the applicable booking confirmation, quotation or contract.

Cancellation terms vary by service type, booking value, notice period and applicable contractual arrangements. General cancellation conditions are set out in the Refund & Cancellation Policy at /refunds. For event services, equipment rental, Academy enrolment and consultancy engagements, applicable cancellation conditions will also be contained in the relevant quotation, booking confirmation, subscription agreement, rental agreement, Scope of Work or service-specific terms. Mitterand reserves the right to cancel or reschedule services due to force majeure events, regulatory requirements, third-party provider constraints or other circumstances beyond reasonable control.

Refund eligibility and conditions depend on the service type, the stage of delivery, applicable contractual terms and the specific circumstances. The Mitterand Refund & Cancellation Policy at /refunds sets out applicable refund conditions for each service category. Refunds for services already fully delivered are generally not available. For partially delivered services or cancellations within applicable notice periods, partial refunds may be offered at Mitterand's reasonable discretion. Third-party products and distributed services are subject to the refund and cancellation policies of the relevant provider. Mitterand will assist in facilitating communication with third-party providers but cannot guarantee third-party refund outcomes.

Where Mitterand receives confidential information from clients, partners or users in the course of providing services, Mitterand will treat such information with reasonable care and will not disclose it to unauthorised third parties without consent, except as required by law, regulation or judicial order. Similarly, users and clients agree not to disclose Mitterand's confidential information, pricing structures, proprietary methodologies or unpublished commercial terms to third parties without written consent. Confidentiality obligations do not apply to information that is publicly available, independently developed, or received without restriction from a third party with the right to disclose it.

All content, materials, trademarks, logos, software, AI systems, training materials, course content, methodologies, and platform designs associated with the Mitterand Ecosystem are the property of Mitterand Events & Management Consultancy W.L.L. or its licensors, and are protected by applicable intellectual property laws. You may not reproduce, copy, distribute, modify, publicly display, publish or create derivative works of any Mitterand intellectual property without express written permission. Third-party trademarks, logos and brand names referenced within the Mitterand Ecosystem are the property of their respective owners. Their display does not imply endorsement, partnership or affiliation with Mitterand unless expressly verified.

When you submit content, documents, data, images or other materials to Mitterand in connection with a service engagement, you grant Mitterand a non-exclusive licence to use, process and store those materials for the purpose of delivering the agreed services. You warrant that you have the right to submit all materials provided and that their use by Mitterand for the agreed purposes will not infringe third-party rights.

Mitterand provides AI-powered tools and services, including the Brain CRM and AI automation features, powered by supported AI model integrations. AI-generated outputs are generated based on available data, model capabilities and input instructions. Mitterand does not guarantee the accuracy, completeness, suitability or reliability of any AI-generated output. Users should independently verify AI-generated content before relying on it for critical decisions. Compliance requirements and available controls depend on the customer's use case, jurisdiction, configuration, integrations and applicable contractual requirements. Mitterand does not claim HIPAA compliance, PCI DSS compliance, bank-level compliance or any regulatory certification unless independently verified and expressly confirmed in writing.

Mitterand Brain CRM is an AI-powered business automation and customer relationship management platform. Features, integrations and capabilities are subject to the applicable subscription tier and configuration. Data processed through Brain CRM is subject to the Mitterand Privacy Policy at /privacy. Customers using Brain CRM for regulated activities are responsible for ensuring their use complies with applicable sector-specific regulations in their jurisdiction.

The Mitterand Digital Academy provides professional training, courses, certifications and educational content. Course content, availability, pricing and schedules are subject to change. Completion of Academy courses and any applicable certification is subject to the learner fulfilling applicable attendance, assessment and payment requirements. Mitterand Academy provides career development support and guidance. Academy courses are not a guarantee of employment, job placement or any particular career outcome. Any reference to career support means guidance, resources and industry connections where available — not a verified employment-placement programme unless expressly agreed in a specific written arrangement.

Equipment rental services are governed by the applicable rental agreement, which will specify the rental period, charges, security deposit, condition requirements, permitted uses, liability for damage, and return obligations. Equipment remains the property of the owner at all times. Renters are responsible for the safe use, storage and return of all rented equipment in the condition in which it was received, subject to normal wear and tear.

Mitterand provides end-to-end event management, production and consultancy services. Event terms, including scope, deliverables, fees, timelines, responsibilities and risk allocation, are set out in the applicable event contract, Scope of Work or booking confirmation. Mitterand may engage approved subcontractors, suppliers and venue partners in delivering event services. Subcontractor engagement is managed by Mitterand in accordance with applicable quality and contractual standards. Force majeure events, regulatory changes, venue availability issues, or third-party failures may affect event delivery. Mitterand will use reasonable endeavours to mitigate disruption and will communicate promptly with clients in such circumstances.

Drone light show services made available through the Mitterand platform are facilitated by Mitterand in its capacity as authorised distribution agent for Cyberdrone Dubai L.L.C. Mitterand does not own, operate or pilot any drone equipment. All technical execution, regulatory compliance, aviation permissions and final commercial terms are the responsibility of Cyberdrone Dubai L.L.C. and applicable aviation regulatory authorities. Availability, pricing, minimum drone counts, technical specifications, regulatory approvals and project feasibility are subject to confirmation by the applicable authorised parties for each project. Business and management consultancy services are provided on the basis of Mitterand's expertise, research and available information at the time of engagement. Consultancy outputs — including strategies, reports, recommendations and plans — represent professional advice based on the information provided and conditions at the time of engagement. Consultancy engagements are governed by the applicable Scope of Work, proposal or contract. Mitterand does not guarantee specific commercial, financial or operational outcomes from consultancy engagements.

To the fullest extent permitted by applicable law: Mitterand's total liability for any claim arising out of or in connection with these Terms or the use of the Mitterand Ecosystem shall not exceed the amounts paid by you to Mitterand in the twelve (12) months preceding the relevant claim. Mitterand is not liable for indirect, consequential, special, incidental or punitive losses, lost profits, loss of data, business interruption, reputational damage, or third-party claims — even if advised of the possibility of such losses. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under applicable law.

You agree to indemnify, defend and hold harmless Mitterand Events & Management Consultancy W.L.L., its employees, agents, contractors and partners from and against any claims, damages, losses, costs or liabilities arising from: - Your use of the Mitterand Ecosystem in breach of these Terms. - Your submission of inaccurate, misleading or infringing content. - Your violation of applicable laws or third-party rights. - Any dispute between you and a third-party provider facilitated through Mitterand.

Mitterand is committed to handling personal data responsibly. The collection, processing, storage and use of your personal data is governed by the Mitterand Privacy Policy at /privacy, which is incorporated into these Terms by reference. By using the Mitterand Ecosystem, you consent to the data practices described in the Privacy Policy. The Privacy Policy covers data actually collected by the platform and does not claim processing activities that do not exist.

Where Mitterand services are delivered through, integrated with, or distributed via third-party platforms (including payment processors, communication tools, cloud services, AI providers and marketplace platforms), your use of those platforms is subject to the respective third-party platform's terms and conditions, privacy policy and acceptable use policy. Mitterand is not responsible for the availability, security, or performance of third-party platforms.

Mitterand is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, regulatory changes, war, civil unrest, strikes, utility failures, internet outages, or third-party supplier failures. In the event of a force majeure situation, Mitterand will notify affected parties as soon as reasonably practicable and will use reasonable endeavours to resume performance or arrange alternative arrangements.

Mitterand reserves the right to terminate or suspend your access to the Mitterand Ecosystem, with or without notice, for: - Material breach of these Terms. - Fraudulent, abusive or illegal conduct. - Failure to pay amounts due. - Any other conduct that Mitterand reasonably determines to be harmful to other users, third parties or Mitterand itself. Upon termination, your right to access the Mitterand Ecosystem ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

Mitterand reserves the right to modify these Terms at any time. Updated Terms will be published at /terms with a revised "Last Updated" date. Where changes are material, Mitterand will provide reasonable notice via the platform or by email. Continued use of the Mitterand Ecosystem after the effective date of any updated Terms constitutes acceptance of the revised Terms. If you do not agree to updated Terms, you should discontinue use of the Mitterand Ecosystem.

These Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain, unless the parties agree in writing to an alternative dispute resolution mechanism.

Entire Agreement: These Terms, together with any applicable service-specific terms, constitute the entire agreement between you and Mitterand regarding the Mitterand Ecosystem, and supersede any prior agreements, representations or understandings. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No Waiver: Failure by Mitterand to enforce any provision of these Terms shall not constitute a waiver of Mitterand's right to enforce that provision in the future. Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Mitterand. Mitterand may assign these Terms in connection with a merger, acquisition or sale of assets. Notices: Official notices to Mitterand should be sent to management@bymitterand.com.
